1. Scope
These Terms apply to the use of V-Count websites and to all quotations, orders, deliveries, products, software, subscriptions and services supplied by V-Count Teknoloji A.Ş., V-Count UK LTD, V Count Technologies FZE or V-Count INC (the V-Count company named on the quotation or invoice, “V-Count”) to any customer, partner or user (the “Customer”). By using our websites, placing an order or accepting a quotation, the Customer accepts these Terms.
The Customer’s own terms, including those in purchase orders, are excluded and do not apply, even if V-Count does not object to them. These Terms may only be varied by a written agreement signed by an authorised signatory of V-Count.
2. Business use only
Our products and services are supplied for business purposes only. Nothing in these Terms affects statutory rights that cannot be excluded by contract.
3. Quotations, orders and prices
Quotations are not binding offers and are valid only for the period stated in them. An order becomes binding only when V-Count confirms it in writing or starts delivery. Unless stated otherwise, prices exclude taxes, duties, shipping, installation and bank charges.
4. Payment
Invoices must be paid in full, without set-off or deduction, by the due date shown on the invoice. If payment is late, V-Count may charge interest at the maximum rate permitted by law, recover its collection costs, and suspend deliveries, software access, data access and support until it has received payment in full. Subscription and service fees are non-refundable.
5. Delivery, risk and title
Delivery dates are estimates only, and V-Count is not liable for delays. Risk passes to the Customer when the goods are handed to the carrier or to the Customer, whichever happens first. Title to hardware passes to the Customer only when V-Count has received payment in full.
6. Performance and results
Accuracy figures such as “up to 99%” describe performance under recommended installation and environmental conditions. Actual results depend on mounting height, entrance layout, lighting, traffic, network and other site factors outside V-Count’s control.
V-Count does not guarantee any specific accuracy level, sales increase, cost saving, conversion rate or other business result. Reports, analytics, benchmarks and recommendations, including AI-generated suggestions, are provided for information only; the Customer is solely responsible for the decisions it makes based on them.
7. Warranty
V-Count’s only warranty for hardware is the warranty stated in the quotation or invoice. Under that warranty, V-Count’s sole obligation and the Customer’s exclusive remedy is the repair or replacement of the defective hardware or, at V-Count’s option, a refund of the price paid for it.
The warranty does not cover damage caused by incorrect installation, misuse, power or network problems, unauthorised modification or third-party products. Software, cloud services, data and websites are provided “as is” and “as available”.
To the maximum extent permitted by law, V-Count excludes all other warranties, conditions and representations, express or implied, including those of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.
8. Limitation of liability
To the maximum extent permitted by law:
- V-Count’s total aggregate liability arising out of or in connection with any project, order, product, software or service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to five percent (5%) of the total price of the project or order giving rise to the claim;
- V-Count is not liable for any loss of profit, revenue, sales, business, goodwill, anticipated savings or data, for business interruption, or for any indirect, special, incidental, punitive or consequential loss, even if it was foreseeable or V-Count was advised of its possibility;
- any claim must be notified to V-Count in writing within twelve (12) months of the event giving rise to it, failing which it is waived.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited or excluded by law.
9. Customer responsibilities and indemnity
The Customer is responsible for the lawful installation and use of the products at its premises; for providing any notices and signage, obtaining any consents and complying with all privacy, data protection, employment and other laws that apply to its use of the products and data; and for the accuracy of the information it gives V-Count. For data collected through products deployed at its premises, the Customer is the controller.
The Customer shall indemnify and hold V-Count harmless against all claims, losses, fines, damages and costs (including reasonable legal fees) arising from the Customer’s breach of these Terms, breach of law, or use of the products, software or data.
10. Intellectual property and data
V-Count and its licensors own all rights in its products, firmware, software, algorithms, models, documentation and websites, and in all improvements to them. The Customer receives only a limited, non-exclusive, non-transferable licence to use the software and services for its internal business purposes during the paid term, and must not copy, modify, reverse engineer or resell them or use them to build competing products.
V-Count may collect and use anonymised and aggregated data generated through its products and services to operate, maintain, improve and develop its products and services and to create benchmarks and statistics, both during and after the term.
11. Suspension and termination
V-Count may suspend or terminate any service with immediate effect if the Customer fails to pay, breaches these Terms, misuses the services or creates a security or legal risk. On termination, all amounts owed become immediately due. After termination, V-Count may delete Customer data, subject to applicable law.
12. Force majeure
V-Count is not liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, epidemics, war, sanctions, government action, strikes, supply chain or component shortages, carrier delays, power or internet outages and cyber attacks.
13. Website content
Website content is provided for general information only and may change without notice. It does not form part of any contract unless it is expressly included in a quotation. V-Count is not responsible for third-party websites linked from its websites.
14. Changes
V-Count may change these Terms at any time by publishing a new version on this page. The new version applies to orders placed and services used after its publication.
15. Governing law and jurisdiction
These Terms and any dispute arising from or in connection with them are governed by the laws of England and Wales. The courts of London, England have exclusive jurisdiction, but V-Count may also bring proceedings against the Customer in the courts of the Customer’s country. If any provision is held invalid, the remaining provisions stay in effect and the invalid provision applies to the maximum extent permitted by law.
